The Governance Manager, in partnership with the CEO, will manage all governance functions and operations in addition to special projects.
ESSENTIAL DUTIES AND RESPONSIBILITIES
Governance – 70%
Serve as the staff liaison to the Nominating Committee.
Serve as the staff liaison to the Committee on Committees.
Serve as the staff liaison to the Bylaws Committee.
Manage all aspects of the Annual Business Meetings.
Manage all aspects of the Board of Directors Meetings.
Manage all aspects of the Executive Committee Meetings.
Manage all aspects of the Past Presidents Council Meetings.
Provide support to the Fellowship Committee.
Manage leadership development and training including committee orientation program.
Maintain all governance documents and records.
Executive Office/Operations – 15%
Maintain Board, Executive Committee and committee rosters and database.
Manage all aspects of the Board of Director and Executive Committee Meetings (meeting notices, meetings materials, presentations, minutes).
Manage the Project Specialist.
Develop the budgets for the Board and Executive Meetings.
Maintain the compendium of Board and Executive Committee actions.
Maintain association’s Policy and Procedure Manual
Maintain all committee descriptions, rosters, and terms of service for all volunteer leaders.
Maintain the committee database, including sending committee member notifications and tracking changes as needed.
Work with interdepartmental teams to accomplish goals with the ability to contribute to and influence the effective and productive performance of the organization in areas outside his/her direct authority.
Special Projects – 15%
Provide administrative support to the CEO.
Manage the scholarship and special program application processes.
Manage grant process.
Assist with the international scholarship process.
Update and maintain the directory and special mailing.
Oversee the award processing, plaque production, recognition plaques and certificates for volunteer leaders and Annual Meeting awards.
Manage Annual Meeting social event invitations mailings and RSVPs.
KNOWLEDGE, SKILLS and ABILITIES
Excellent customer service skills
Strong knowledge of Microsoft Windows environment (Word, Excel, and PowerPoint)
Working knowledge of iMIS and Board Effect
Excellent both oral and written communications skills

EXPERIENCE AND EDUCATION
Bachelor’s degree required. CAE preferred.
5+ years association experience required, preferably in the areas of governance and operations
WORKING CONDITIONS
Work is performed in a general office setting. Position requires availability for extended hours plus non-traditional hours to perform duties. Overnight and weekend travel is required.
